Terms of Service & User Agreement

This Terms of Service and User Agreement (the "Agreement") is a binding legal contract between you ("you", "User") and STS Automatic LLC, a South Carolina limited liability company, operator of the Prizm P.M. platform ("Prizm", "we", "us", or "our"), governing your access to and use of the Prizm P.M. website, applications, APIs, and related services (collectively, the "Service"). BY CLICKING "CREATE ACCOUNT," CHECKING THE ACCEPTANCE BOX, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THIS AGREEMENT AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
1. Eligibility & Accounts
You must be at least 18 years old and legally able to enter into a binding contract. You represent that all information you provide is accurate and current. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to enable and safeguard any additional authentication factors we make available and to promptly notify us at property@prizmbi.xyz of any unauthorized use.
2. Roles: Landlords and Tenants
The Service supports two account types: (a) "Landlords," who use the Service to manage properties, units, leases, rent collection, maintenance workflows, tenant records, documents, and payouts; and (b) "Tenants," who use the Service to view lease information, pay rent (one-time or via autopay), submit maintenance requests, and communicate with their Landlord. Prizm is not a party to any lease, rental, or other agreement between a Landlord and a Tenant. Prizm is a software platform; we are not a property manager, real-estate broker, escrow agent, collection agency, money transmitter, credit-reporting agency, or legal, tax, or financial advisor.
3. Payments, Fees, Payouts & Autopay
- Payment processing. Payments made through the Service are processed by Stripe, Inc. and, where applicable, its affiliates. By using the Service to send or receive payments, you also agree to the Stripe Services Agreement and, for Landlords, the Stripe Connected Account Agreement. Landlords must complete Stripe Connect onboarding, including any identity, business, and tax verification Stripe requires, before receiving payouts.
- Platform fees. Prizm charges (i) a per-transaction convenience fee, (ii) a Landlord payout percentage fee, (iii) an optional card-processing surcharge passed through to Tenants who choose to pay by card, and (iv) where enabled by the Landlord, a configurable share of late fees collected on past-due rent. Current amounts are disclosed in-product prior to payment and in Landlord settings. Fees may change from time to time; changes apply prospectively.
- ACH & card payments. Tenants may pay by card or, where enabled, by bank transfer (ACH). ACH payments typically settle in 3–5 business days and may be returned unpaid for insufficient funds, closed accounts, unauthorized-debit claims, or other reasons. Card payments may be subject to chargebacks and disputes. You authorize Prizm and Stripe to initiate debits and credits (including reversals and corrections) to the accounts you designate for the purposes described in the Service.
- Autopay authorization. If you enroll a payment method in autopay, you authorize Prizm and Stripe to charge that method on each scheduled rent due date for the amount then owed (including any applicable surcharges) until you cancel autopay in the Service. You may cancel at any time before a scheduled charge is initiated.
- Late fees. Landlords may configure late fees (flat and/or percentage) that the Service will automatically apply to unpaid charges past their grace period. Where a Landlord has enabled the feature, Prizm retains a configurable share of collected late fees as a platform fee.
- Failed payments, reversals & disputes. Landlords are solely responsible for pursuing any amounts that are reversed, disputed, returned unpaid, or otherwise not collected, including through their offline legal remedies against the Tenant. Prizm may debit Landlord accounts and offset payouts to recover fees, chargebacks, refunds, or other amounts owed to Prizm or Stripe.
- Refunds. Platform fees paid to Prizm are non-refundable except where required by law. Refunds of rent or other Landlord charges are at the Landlord's sole discretion.
- Taxes. You are solely responsible for determining, collecting, reporting, and paying any taxes associated with your use of the Service and any payments you send or receive through it.
4. Acceptable Use
You agree not to, and not to permit anyone else to:
- use the Service in violation of any law, regulation, or third-party right, including fair-housing, consumer-protection, security-deposit, rent-control, eviction, privacy, and anti-discrimination laws;
- upload false, misleading, defamatory, obscene, harassing, discriminatory, or infringing content, or content that reveals another person's sensitive information without authority;
- circumvent, disable, reverse engineer, or interfere with any security, authentication, rate-limit, or usage-limit feature of the Service;
- use the Service to send unsolicited communications or to scrape, harvest, or mine data;
- impersonate any person or entity or misrepresent your affiliation with any person or entity;
- use the Service to launder money, finance illegal activity, or evade sanctions;
- use the Service to collect payments for goods or services other than residential-lease-related charges Landlords are legally entitled to collect from their Tenants.
5. Your Content
You retain ownership of the content you submit — including property, unit, lease, tenant, maintenance, payment, document, and messaging data ("User Content"). You grant Prizm a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting and technical delivery), transmit, and display User Content solely to operate, secure, support, and improve the Service and to comply with law. You represent that you have all rights necessary to grant this license, including any consents required from Tenants, occupants, or other third parties whose information you upload, and that your User Content does not violate this Agreement or any third-party right.
6. Landlord–Tenant Relationship
Any lease, rent charge, late fee, security deposit, notice, maintenance obligation, or dispute is solely between Landlord and Tenant. Prizm has no obligation to mediate, adjudicate, or enforce any lease term. Landlords are solely responsible for the legality, accuracy, and enforceability of the charges, fees, documents, and communications they create through the Service, and for complying with all applicable landlord–tenant, fair-housing, security-deposit, notice, and eviction laws in their jurisdiction. Documents generated through the Service (including lease templates and PDFs) are provided as convenience tools, not legal advice, and should be reviewed by qualified counsel before use.
7. Third-Party Services
The Service integrates with third-party services, including Stripe (payments and payouts), Supabase (database, authentication, and storage infrastructure operated by our vendor), and mapping and property-data providers. We are not responsible for the acts, omissions, availability, pricing, or content of any third-party service, and your use of them is governed by their own terms.
8. Intellectual Property
Prizm and its licensors own the Service, including all software, designs, trademarks, and content (other than User Content). We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service in accordance with this Agreement. No other rights are granted by implication, estoppel, or otherwise.
9. Feedback
If you submit feedback, suggestions, or ideas, you grant Prizm a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation to you.
10. Suspension & Termination
We may suspend or terminate your access at any time, with or without notice, for any reason, including suspected violation of this Agreement, non-payment, risk to the Service or its users, or a directive from Stripe or another provider. You may terminate at any time by ceasing use and, if applicable, requesting deletion at property@prizmbi.xyz. Sections that by their nature should survive termination — including Sections 3 (fees owed), 5 (license), 8, 11, 12, 13, 14, and 15 — will survive.
11. Disclaimers
The Service is provided "as is" and "as available," with all faults and without warranty of any kind. To the maximum extent permitted by law, Prizm disclaims all warranties, express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty arising out of course of dealing or usage of trade. Prizm does not warrant that the Service will be uninterrupted, secure, error-free, or that any data will not be lost or corrupted. Prizm does not provide legal, tax, accounting, financial, real-estate, or property-management advice.
12. Limitation of Liability
To the maximum extent permitted by law, in no event will Prizm or its affiliates, officers, directors, members, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, rent, data, goodwill, or business opportunities, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if advised of the possibility of such damages. Prizm's aggregate liability for all claims relating to the Service will not exceed the greater of (a) the fees you paid to Prizm for the Service in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
13. Indemnification
You will defend, indemnify, and hold harmless Prizm and its affiliates, officers, directors, members, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service, (b) your User Content, (c) your violation of this Agreement or any law or third-party right, or (d) any dispute between you and another user of the Service (including any Landlord–Tenant dispute).
14. Governing Law; Venue
This Agreement is governed by the laws of the State of South Carolina, U.S.A., without regard to conflict-of-law rules. Subject to Section 15, the exclusive venue for any action arising out of or relating to this Agreement will be the state and federal courts located in South Carolina, and each party consents to personal jurisdiction there.
15. Binding Arbitration & Class-Action Waiver
READ THIS SECTION CAREFULLY. It affects your legal rights. Except for claims for injunctive relief relating to intellectual property, any dispute arising out of or relating to this Agreement or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will be conducted in the English language, in South Carolina or by videoconference, on an individual basis; class arbitrations and class actions are not permitted. If any portion of this section is found unenforceable, the remainder will remain in effect. You may opt out of arbitration within 30 days of first accepting this Agreement by emailing property@prizmbi.xyz with the subject line "Arbitration Opt-Out" and your account email.
16. Changes to the Service or this Agreement
We may modify the Service or this Agreement at any time. Material changes will be communicated by posting the updated Agreement with a new version date and, when appropriate, by in-app notice or email. Your continued use of the Service after the effective date constitutes acceptance of the updated Agreement.
17. Miscellaneous
This Agreement, together with the Privacy Policy, is the entire agreement between you and Prizm regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver. You may not assign this Agreement without our prior written consent; we may assign it freely, including in connection with a merger, acquisition, financing, or sale of assets. Notices to you may be sent to the email associated with your account.
